These Terms & Conditions ("Terms") govern your access to and use of the RelayLeads platform and related services operated by Farmer Media, LLC d/b/a RelayLeads ("RelayLeads," "we," "us"). By accessing or using the service, you agree to these Terms.

1Acceptance

By creating an account, accessing, or using the service, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not use the service.

2The service

RelayLeads provides a platform that businesses ("Clients") use to capture leads, schedule and manage services, and communicate with their own customers through channels including SMS and email. We may add, change, or discontinue features over time. The service connects to and relies on third-party tools that Clients choose to use.

3Accounts & eligibility

• You must provide accurate information and keep it up to date.
• You are responsible for safeguarding your credentials and for all activity under your account.
• You must be at least the age of majority in your jurisdiction and able to form a binding contract.
• Notify us promptly of any unauthorized use of your account.

4Acceptable use

You agree not to:

• use the service to send unlawful, deceptive, harassing, or unsolicited messages, or to violate any messaging, telemarketing, or anti-spam law or carrier requirement;
• send messages to anyone who has not provided the required consent, or after they have opted out;
• infringe others' rights, transmit malware, or attempt to disrupt or gain unauthorized access to the service;
• reverse engineer, resell, or misrepresent the service except as expressly permitted;
• use the service for any prohibited content category defined by applicable carrier or regulatory rules.

5Client & messaging responsibilities

Clients are solely responsible for their relationship with their own customers and for the content they send. In particular, the Client must:

• obtain and maintain proper consent from recipients before sending SMS or email, and honor all opt-out requests;
• ensure its messaging complies with applicable law (including the TCPA and equivalent rules) and with carrier and industry messaging requirements;
• maintain its own accurate privacy disclosures where required;
• provide truthful business information for any messaging registration or verification.

With respect to customer and lead data a Client processes through the platform, the Client is the controller of that data and RelayLeads acts as its service provider/processor.

6Fees & billing

Paid plans are billed in advance on a recurring basis through our third-party payment processors. Fees are described at the point of sale. Unless required by law or stated otherwise, payments are non-refundable. We may change pricing on a going-forward basis with notice. Failure to pay may result in suspension of the service.

7Intellectual property

The platform, including its software, design, and trademarks, is owned by RelayLeads and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the service subject to these Terms. You retain ownership of content you provide; you grant us the rights needed to host and process it to operate the service.

8Third-party services

The service integrates with third-party tools and providers. Your use of those services is governed by their own terms, and we are not responsible for their acts, omissions, or availability.

9Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that messages will be delivered without delay.

10Limitation of liability

To the maximum extent permitted by law, RelayLeads and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to the service. Our total liability for any claim relating to the service will not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.

11Indemnification

You agree to indemnify and hold harmless RelayLeads and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the service, your content or messaging, or your breach of these Terms or of applicable law.

12Term & termination

These Terms apply while you use the service. You may stop using the service at any time. We may suspend or terminate access if you violate these Terms, fail to pay, or create risk or legal exposure. Provisions that by their nature should survive termination will survive.

13Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the courts located in Dauphin County, Pennsylvania, and you consent to their jurisdiction.

14Changes to these terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
